1. Introduction & Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of the Sertiq platform (“Platform”), operated by Zatto Dev (“we”, “us”, “our”). Sertiq is a trading name of Mariusz Laszewski, trading as Zatto Dev, 210 Redwood Grove, Bedford, MK42 9JE, United Kingdom (UTR: 1153 45012). By registering an account, accessing the Platform, or clicking “I Agree”, you (“User”, “Customer”, “you”) confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, you must not use the Platform.

2. Definitions

“Platform” means the Sertiq software-as-a-service application accessible at sertiq.app and associated mobile or desktop applications.
“Customer Data” means all data, documents, certifications, and information submitted to the Platform by you or your Users.
“Subscription” means the paid or trial plan selected by the Customer.
“User” means any individual who accesses the Platform under a Customer account.
“Sub-processor” means any third-party engaged by us to process Customer Data on our behalf.
“Confidential Information” means any non-public business information disclosed by one party to the other.

3. Platform Description & Scope

Sertiq is a supplier quality management platform designed to assist organisations in managing ISO 9001 clause 8.4 compliance, non-conformance reports (NCR), corrective and preventive actions (CAPA), supplier audits, and related quality documentation.

IMPORTANT DISCLAIMER: The Platform is a software tool only. It does not constitute professional ISO certification, legal, regulatory, or quality assurance advice. Sertiq is not a certification body and use of the Platform does not result in, guarantee, or imply ISO 9001 or any other certification. All compliance decisions remain the sole responsibility of the Customer.

Any AI-assisted features within the Platform (including NCR suggestions or automated reports) are provided for informational purposes only and must be reviewed by qualified personnel before being acted upon.

4. Account Registration & Eligibility

You must be at least 18 years old to create an account.
You must provide accurate, complete, and current registration information.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately at legal@sertiq.app if you suspect any unauthorised use of your account.
We reserve the right to refuse registration at our sole discretion.

5. Subscriptions, Free Trials & Payments

5.1 Free Trial

We may offer a free trial period. At the end of the trial, your account will either be converted to a paid subscription or deactivated. We reserve the right to modify or withdraw trial offers at any time.

5.2 Paid Subscriptions

Subscription fees are billed in advance on a monthly or annual basis. All fees are exclusive of applicable taxes (including VAT/GST). Payments are processed by our third-party payment processor. We do not store payment card data. All fees are non-refundable except as stated in Section 5.4 or required by law.

5.3 Price Changes

We reserve the right to change subscription fees at any time. We will provide at least 30 days’ written notice of any price increase.

5.4 Cancellation & Refunds

You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No partial refunds for unused periods. EU/UK consumers exercising statutory cancellation rights within 14 days of initial subscription may be entitled to a refund, except where the service has been fully performed with your consent.

6. Acceptable Use Policy

You agree not to: violate any applicable law or regulation; upload malware or harmful code; attempt unauthorised access to the Platform; reverse engineer or decompile the Platform; scrape data using automated means without our consent; store or transmit unlawful, defamatory, or obscene material; resell or sub-license access to the Platform without prior written permission; interfere with the integrity or performance of the Platform.

7. Intellectual Property

All intellectual property rights in the Platform, including software, code, design, trademarks, logos (including the Sertiq™ mark), and documentation, are the exclusive property of Zatto Dev and/or Mariusz Laszewski. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely in accordance with these Terms and your active Subscription. You retain all intellectual property rights in your Customer Data. By uploading Customer Data, you grant us a limited licence to process and store it solely to provide the Platform services to you.

8. Confidentiality

Each party agrees to keep confidential all Confidential Information of the other party and not disclose it to any third party without prior written consent, except as required by law. This obligation survives termination for five (5) years.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim. We are not liable for decisions made based on Platform outputs. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

10. Indemnification

You agree to indemnify and hold harmless Zatto Dev, Mariusz Laszewski, and any officers, employees, or agents from and against any claims, liabilities, damages, losses, and expenses arising out of: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any third-party right; or (d) any Customer Data you upload.

11. Termination & Suspension

We may suspend or terminate your account immediately and without notice if you breach these Terms. We may terminate your account with 30 days’ written notice for any other reason. Upon termination, your right to use the Platform ceases immediately. Following termination, we will retain your Customer Data for 30 days for export, then delete it. You may terminate at any time by written notice to legal@sertiq.app.

12. Force Majeure

We shall not be liable for any failure or delay arising from circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, war, government action, cyberattacks, or failure of third-party infrastructure.

13. Modifications to Terms

We may modify these Terms at any time. We will provide at least 14 days’ notice of material changes. Continued use after the effective date constitutes acceptance.

14. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. For EU consumers, nothing in this clause affects your statutory rights.

15. Severability

If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.

16. Entire Agreement

These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between the parties regarding the Platform.
